APPOINTMENT OF TWO INDEPENDENT MEMBERS TO SERVE IN THE AUDIT AND RISK COMMITTEE OF THE COUNCIL FOR MINERAL TECHNOLOGY

MINTEK was established in terms of the Mineral Technology Act 30 of 1989 (the Act). MINTEK serves the national interest through research, development and technology transfer, intending to promote mineral technology and foster the establishment and expansion of industries in the field of minerals and products derived therefrom. MINTEK reports to the Minister of Mineral and Petroleum Resources as its Executive Authority. The Audit and Risk Committee is a committee of the MINTEK Board established in terms of section 77 of the Public Finance Management Act, 1999 (Act No. 1 of 1999) (PFMA), read together with the applicable Treasury Regulations. The Committee is responsible for providing independent oversight of financial reporting, internal controls, internal and external audit, risk management, governance and compliance, in accordance with its approved Charter.


OBJECTIVES OF MINTEK


The objectives of the organisation are to:

• Foster the establishment and expansion of industries in the field of minerals
• Attract, develop and retain a globally competitive workforce, particularly in the fields of science, engineering and technology
• Develop and maintain world-class research, development and innovation infrastructure
• Ensure financial sustainability and uphold good governance practices


APPOINTMENT OF INDEPENDENT MEMBERS

MINTEK invites nominations from suitably qualified and experienced individuals for the appointment of two Independent Members to serve on the Audit and Risk Committee of the MINTEK Board. Independent Members will serve only on the Audit and Risk Committee and may not be members of the MINTEK Board.

These appointments complement the Committee with appropriate expertise and experience and strengthen the effective discharge of its oversight responsibilities. The term of office of the Independent Members will be aligned to the term of the existing MINTEK Board, subject to the applicable legislation, the approved Audit and Risk Committee Charter and the terms of appointment. 

Candidates must be South African citizens or holders of a valid permanent residence permit in the Republic of South Africa. They must not be disqualified from serving as directors in terms of applicable legislation.


REQUIRED QUALIFICATIONS AND EXPERIENCE


Interested candidates possessing the following qualifications, skills and experience are encouraged to submit their applications:


• A relevant degree or equivalent qualification, with a professional accounting or auditing qualification, such as CA(SA), ACCA, CIMA or equivalent, being an advantage.


• At least five years' relevant experience in audit and risk committee work, preferably within a public institution or public sector environment.


• Extensive experience in the following areas: Financial accounting and reporting; Taxation; Internal and external auditing; Corporate governance; Risk management; Information and Communication Technology (ICT) governance; legal expertise; and Audit and Risk Committee oversight.


• Excellent knowledge and understanding of the Public Finance Management Act, 1999 (Act No. 1 of 1999) (PFMA), National Treasury Regulations, Enterprise-Wide Risk Management (EWRM), the COSO
Framework, the Public Sector Risk Management Framework, applicable public procurement legislation and regulations, including the Preferential Procurement Policy Framework Act, 2000 (Act No. 5 of 2000) (PPPFA), where applicable, and the Protection of Personal Information Act, 2013 (Act No. 4 of 2013) (POPIA).

KEY DUTIES AND RESPONSIBILITIES

The appointed Independent Members will be expected to:
• Review financial reporting and internal controls, including the annual financial statements, applicable accounting framework, PFMA and Treasury Regulations, and assess the effectiveness of the internal control environment and internal audit function.
• Provide oversight of risk management, including the implementation and effectiveness of MINTEK's risk management framework, policy, strategy and related arrangements.
• Oversee governance, compliance and ICT controls, including compliance with applicable legislation, regulations and policies, as well as ICT governance, access controls and the safeguarding of information.
• Review significant incidents and areas of concern, including suspected criminal, fraudulent, irregular or otherwise improper conduct, and ensure that appropriate action and assurance are obtained.
• Provide independent advice and assurance to the Board and management on matters within the Audit and Risk Committee's mandate and perform all duties assigned to the Committee in terms of the applicable Treasury Regulations, including regulation 27.1, and the approved Audit and Risk Committee Charter.

Remuneration will be in accordance with the applicable rates determined by National Treasury and approved by the Department of Mineral Resources and Energy.
